WISDOM Account Use Agreement

Welcome to register and use WISDOM account!

This agreement is entered into between you and WISDOM Technology Co., Ltd. and its affiliates in connection with the registration and use of WISDOM account. WISDOM Technology Co., Ltd. and its affiliates (hereinafter referred to as "WISDOM" or "we") hereby remind you to carefully read and fully understand the terms of this agreement, especially the terms relating to service fees, the terms exempting or limiting WISDOM's liability, the terms limiting your rights, dispute resolution and applicable laws, etc., which will be brought to your attention in bold form. If you do not have full civil capacity due to age and other factors, please read and judge whether you agree with this agreement with the guardian.

By creating an account or using our service, you confirm your acceptance of this agreement and agree to be bound by the terms of this agreement.

1、 About WISDOM account

1.1 The WISDOM account is the identification that WISDOM authorizes you to register, log in or use relevant services through this agreement. Its ownership belongs to WISDOM. As the initial registrant, you have the right to use the account you registered.

1.2 You can enjoy the individual services provided by WISDOM through WISDOM account, including but not limited to WISDOM network, application store, Mijia, Youpin, cloud service, theme store, loT platform and other services. You can also purchase rice coins from WISDOM through WISDOM account so that you can enjoy WISDOM's various virtual products and value-added services (such as games, themes, e-books, etc.). When you enjoy any single service, you shall be bound by this agreement and the service agreement related to the single service.

2、Account usage rules

2.1 Registered account

2.1.1 You confirm that before you start the registration process to use the WISDOM service, you should have the civil capacity that is appropriate to your behavior as stipulated by the laws of the People's Republic of China. If you do not have the aforementioned civil capacity corresponding to your behavior, you and your guardian shall bear all the consequences arising therefrom in accordance with the law.

2.1.2 You should provide timely, detailed and accurate personal information and keep updating your registration information to meet the requirements of timely, detailed and accurate. You guarantee that all information submitted during registration (including but not limited to mobile phone number, email address, etc.) is true, accurate, legal, valid and your own information. WISDOM shall not be responsible for any problems arising from the untrue or untimely registration information. You can query and correct your information through the WISDOM account setting page, You should register your account through real identity authentication , and the account name, avatar and other registration information you submitted must not contain illegal and bad information. After the review of WISDOM, if the above conditions exist, WISDOM will not register; At the same time, after registration, if it is found that you have fraudulently registered your account or account name with false information, or that your account avatar, profile and other registration information contain illegal and bad information, WISDOM has the right to take unilateral measures such as correction within a time limit, suspension of use, and termination of account number without notice. After you fill in the information according to the prompts on the registration page, read and agree to the terms of this agreement and complete all registration procedures, you can obtain a WISDOM account and become a WISDOM user.

2.2 Using your account

2.2.1 You shall be responsible for all the results of your actions under your account (including but not limited to signing various individual terms online, publishing information, purchasing goods and services, and disclosing information).

2.2.2 Because your WISDOM account is associated with your personal information and WISDOM business information, your WISDOM account is only for your own use. Without the consent of WISDOM, your direct or indirect authorization of a third party to use your WISDOM account or obtain the information under your account is invalid. If WISDOM judges that the use of your WISDOM account may endanger your account security and or WISDOM information security according to the default determination procedures and standards agreed in the WISDOM platform rules, WISDOM may refuse to provide corresponding services or terminate this agreement.

2.2.3 If you choose a third party account to log in to the WISDOM service, the third party account will be associated with your WISDOM account, and WISDOM will use your information (such as avatar) according to the information provided by the third party authorized by you. Your subsequent use of this WISDOM account is subject to this agreement.

2.3 Account keeping and retrieval

2.3.1 The WISDOM account includes the account name and password. You can use the set account name (including account ID, mobile phone number) and password to log in. You should keep your account and password properly and change the password regularly, The account information is lost due to your personal reasons. If you need to retrieve the WISDOM account information, please provide the corresponding information according to the WISDOM account retrieval process and ensure that the information provided is legal, true and valid. If the information provided does not meet the requirements and cannot pass the WISDOM security verification, WISDOM has the right to refuse to provide the account retrieval service.

2.3.2 If the WISDOM account you are currently using is not the one you initially applied for registration or obtained through other means not provided by WISDOM, but you know the current password of the WISDOM account, you cannot log in or do any operation with the WISDOM account, and please notify WISDOM or the initial applicant for registration of the WISDOM account at the first time.

2.4 Account transfer

2.4.1 You can use the WISDOM account within the scope agreed in this agreement. You shall not register the WISDOM account maliciously, and shall not give, borrow, rent, transfer or sell the WISDOM account with compensation or without compensation, or otherwise permit the non-initial applicant to use the WISDOM account. WISDOM has the right to make independent judgment and handle the above actions, and you shall bear any responsibility arising therefrom, At the same time, WISDOM reserves the right to investigate the legal liability of the above-mentioned perpetrators. And all responsibilities arising therefrom shall be borne by you.

2.4.2 WISDOM has the right to take the following measures against you in accordance with this Agreement or relevant laws and regulations:

（1）If you violate laws and regulations, WISDOM's individual terms or business rules, WISDOM has the right to make independent judgment and take corrective actions within a time limit, suspend the use of your WISDOM account, and terminate the use of your WISDOM account at any time, and decide whether to resume the use according to the actual situation.

（2）If WISDOM finds that you are not the initial registrant of the account, WISDOM has the right to terminate your use of the account without notice.

（3）WISDOM shall correct, suspend or terminate your use of WISDOM account within a time limit in accordance with this agreement or relevant laws and regulations, and you shall bear the losses (including but not limited to communication interruption, clearing of user information, mail and related data, etc.) caused to you.

2.5 Disabling of an inactive account

Your Wisdom Account is for your use only. Your account information includes both your personal details and Wisdom business information. You may not directly or indirectly allow third parties to use your Wisdom Account or access information on your account without Wisdom's consent. Wisdom reserves the right to terminate this Agreement or suspend access to our services if we reasonably believe, after examination following policy violation procedures and standards, that your account security is in danger, or that Wisdom's information security may be compromised by the use of your account.

2.6 Account Security

2.6.1 You should take care to protect your account information and password. We recommend that you take measures, such as regularly changing your password, to protect the security of your account.

2.6.2 WISDOM will not be responsible for the loss and consequences caused by your active disclosure of WISDOM account or by other people's attack, fraud and other acts. You should recover from the infringer through judicial, administrative and other relief channels.

2.7 Canceling an account

2.7.1 If you need to log off your WISDOM account, you can contact the staff in the Official Hotline at the bottom of the website to log off.

2.7.2 In order to protect the security of your data, after the account is canceled, we will permanently delete all data related to your account (except where stipulated otherwise by laws and regulations), and we will not retain any data or information related to your account. This data includes, but is not limited to, Wisdom mall.

3、User rights and responsibilities

3.1 You must abide by the relevant laws and regulations of the People's Republic of China while using this Service, including but not limited to the Cybersecurity Law, Provisions for the Administration of Internet News Information Services, Provisions for the Governance of the Online Information Content Ecosystem, Provisions on Internet User Account Information, and Provisions on the Administration of Mobile Internet Applications Information Services. You agree that you will not use Wisdom Account services to engage in any illegal or in appropriate activities, including but not limited to:

3.1.1 Uploading, displaying, posting, spreading or otherwise transmitting information or content that:

3.1.2 You shall not use any Wisdom services to engage in any of the following actions or behaviors:

3.2 You agree to remunerate Wisdom, its partner companies, and its affiliates for any claim, demand, or loss, including reasonable attorney fees, caused or incurred by any third party against Wisdom, its partner companies, or its affiliates due to your breach of this Agreement or other terms of service. Wisdom has the right to take measures including but not limited to deleting published information, suspending licenses, terminating services, restricting the use of the Wisdom Account, and pursuing legal action, depending on the nature of your actions. Wisdom will also assist in legal investigations at the request of judicial authorities.

3.3 You shall not duplicate, reproduce, sell, resell, or otherwise commercially exploit any content contained in our services.

3.4 You shall bear all legal responsibility for your own actions and behavior while using Wisdom services. The forms of your legal responsibility include, but are not limited to: a) compensation to any party infringed upon, and b) in the event that Wisdom first assumes administrative penalty or tort damage caused by your actions, you shall pay Wisdom an equal amount of compensation.

3.5 Under no circumstances shall WISDOM be liable for any indirect, consequential, disciplinary, incidental, special or punitive damages arising from this Agreement by you or any third party.

4、Disclaimer

4.1 WISDOM does not assume any legal liability in the following cases:

4.1.1 This service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim any express or implied warranty, condition, or other agreement, nor do we make any warranty or promise related to the completeness, accuracy, timeliness, or reliability of the Service and related individual services and features.

4.1.2 This service is provided "as is" and "as available". 4.1.3 To the fullest extent permitted by law, Wisdom shall not be liable for any loss to you or anyone else caused by the inability to access or use the Service for the following reasons:

4.1.4 Any service disruption, delay, or restriction due to hacking attacks, computer viruses, blocking of unlawful or harassing information, government controls, or any other reason related to networks, technology, communication lines, or information security administrative measures;

4.1.5 Any losses or damages to the user caused by third parties due to carrier communication line malfunctions, technical problems, network or computer malfunctions, system instability, or any other reason of force majeure;

4.1.6 Wisdom's maintenance or upgrade of the system, software, or hardware that results in the suspension or termination of this Service;

4.1.7 Service interruptions due to typhoons, earthquakes, power outages, floods, war, terrorist attacks, or any other reason of force majeure;

4.1.8 Service interruption, delay, or termination due to changes in laws and regulations, judicial rulings, or requirements of administrative agencies.

4.1.9 This Service is only for your personal use. If you, without the consent of Wisdom, directly or indirectly authorize a third party to use your Wisdom account and such authorization results in the loss of your personal information, you will take full responsibility for the loss and Wisdom will not be liable.

4.2.0 You may choose to link your existing third-party account to your Wisdom Account. In no case will Wisdom be responsible for any losses caused to you by a third party.

4.2.1 We may access, use, save, and/or disclose your account information and content in accordance with laws, lawsuits, the requirements of judicial or government agencies, or under other reasonably necessary circumstances.

4.2.2 Wisdom does not assume any responsibility for the disclosure of your personal information due to your misuse.

4.2.3 The use of Wisdom products and services may involve some risks due to threatening, defamatory, objectionable, or illegal content disseminated by anonymous people or those impersonating others, or communication between users of the Service. Any psychological or physical injury or economic loss caused or likely to be caused by being misled or deceived by another person shall be borne by the infringing party, and Wisdom shall not bear any liability therefor.

4.2.4 Any content posted by you using your Wisdom Account does not represent nor reflect any views or policies of Wisdom, and Wisdom does not assume any liability therefor.

4.2.5 Under no circumstances shall Wisdom be liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits suffered by you as a result of your use of Wisdom services. You agree that our entire liability to you, no matter the reason or the manner of conduct, will never exceed the fees (if any) you paid to Wisdom for the use of Wisdom services during the period of validity of this Agreement.

5、Intellectual property rights

5.1You agree that in the use of your Wisdom Account on any platform, you will not infringe upon any rights of any person, including intellectual property rights. You may not upload, post, modify, distribute, or reproduce any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. After we receive proper notification by the copyright holder or its agent, and confirm through our investigation the validity of the accusation, we will remove any content that infringes upon copyright.

5.2 You retain any intellectual property rights for the content (including text, images, videos, software, etc.) which you submit, post, or upload on or through our services and/or using Wisdom Account. By submitting, posting, or uploading the content, you give Wisdom a perpetual, irrevocable, and non-exclusive license, with a right to sublicense, reproduce, or otherwise use such content. You agree that you will not submit to Wisdom any information or materials that you consider to be confidential or proprietary.

5.3 You do not have the right to use any of Wisdom's intellectual property without Wisdom's prior written consent. You hereby attest that you respect Wisdom's intellectual property rights. You shall not apply in any jurisdiction or in any way for a trademark, domain name, website name, logo, trade name, or any other distinctive brand feature that is similar to that of Wisdom or its affiliates‘ trademarks for any marketing, advertising, promotional, or other purposes, whether in your own name or by causing a third party to do so, nor shall you give your consent or allow any third party to do so. If you do so, you shall transfer all relevant rights to Wisdom at your own expense. You attest that you will not use the following names (including but not limited to "WISDOM", "WISDOM MALL", "WISDOM Official", or the affiliated logos and images of the above brands) as part of the name of a company, merchant, service, or product, and will not use the Wisdom trademark or intellectual property similar to the trademark. If you cause any loss to Wisdom due to your violation of these terms and conditions, you shall bear all such losses.

6、Modification of this Agreement

6.1 You agree that, based on developments in technology, the market, Wisdom's business model, etc., Wisdom has the right to amend terms and conditions, including this Agreement, at any time in accordance with changes in Chinese laws and regulations, the development of the internet, and adjustments in company situation and business strategy. The updated Agreement will take effect after a reasonable publicity period and will replace the previous Agreement.

6.2 We will notify you of the new Agreement in an appropriate manner, and you may view the latest version of the terms of the Agreement on the relevant service page. If the revised Agreement or any of its terms will seriously affect or restrict your continued use of this Service, we will obtain your consent through pop-up windows, prominently placed announcements on webpages, text messages, etc. If you do not agree to the modified terms, you shall immediately discontinue your use of the Service. Your continued use of Wisdom Account shall be regarded as acceptance of the modified Agreement.

6.3 We reserve the right in our sole and absolute discretion to suspend or terminate your use of Wisdom Account and other Wisdom services at any time without liability or prior notice for any reason, if we believe in good faith that you have violated or acted inconsistently with this Agreement or our Acceptable Use Policy.

6.4 After proper notification by the copyright holder or its agent and confirmation that the user has used our services as an instrument of unlawful copyright infringement, we will terminate the infringing user's rights to use and/or access to our services.

7、Termination of services

7.1 If you violate relevant laws and regulations or provisions of this Agreement, we have the right to suspend, restrict, or terminate your use of Wisdom Account and to stop providing services to you.

7.2 We retain the right to suspend or terminate Wisdom Account services (or any part thereof) within a reasonable period of time according to our operational needs. Users should back up all their Wisdom Account data and information in a timely manner.

7.3 We may terminate our provision of Wisdom Account services in order to comply with legal regulations, the results of litigation, judicial proceedings, or government requirements.

7.4 In the event of such termination of services, we will do our best to notify you through platform announcements, text message, email, or other means. However, under the following circumstances, we may immediately suspend, restrict, or terminate your access to all or part of the service without prior notice:

A) You violate the terms of this Agreement, or Wisdom has reason to believe that you are preparing to do so;

B) You or anyone acting on your behalf engage in fraudulent or illegal activity or provide Wisdom with false or misleading information;

C) As required in order to respond to requests from law enforcement or government agencies in accordance with a valid legal process;

D) As required in order to perform urgent system or hardware maintenance updates;

E) For unforeseen technical, security, or business reasons.

7.5 If the content or information published by your Wisdom Account violates the intellectual property rights of a third party, and Wisdom receives a notice from the intellectual property owner or their legal representative, Wisdom reserves the right to terminate this Agreement.

8、Protection of personal information

8.1 We are committed to the privacy and safety of our users and take reasonable measures to protect our users' personal information and privacy. We will not collect or use personal information other than that which is necessary for the provision of services, nor will we use said personal information for purposes other than the provision of services unless consent is obtained from the user.

8.2 We will fulfill our obligations regarding the protection of information security by undertaking necessary security measures as stipulated by relevant laws and regulations. You understand that we are unable to guarantee the information security protection capabilities of third parties nor their processing behavior. If you have any questions about the collection, provision, storage, or use of your personal information by a third party, or decide to take legal action of any kind against them, you should directly contact the relevant third party.

8.3 WISDOM promises to protect the user's privacy in accordance with the WISDOM Account Privacy Policy. This agreement and privacy policy constitute the complete agreement between you and us about the WISDOM account service.

9、Applicable laws and dispute resolution

9.1 This Agreement is governed by the laws of the People's Republic of China.

9.2 If any dispute arises between the two parties, it should be resolved through amicable negotiation. If negotiation fails, a lawsuit should be filed in the Haidian District People's Court in Beijing. If there is a conflict in terms of jurisdiction between any single clause and the terms and conditions of this Service, the single clause takes precedence within the scope of its applicability.

10、Additional terms

10.1 Period of validity

This Agreement is effective as of the date accepted by you and will remain in effect unless terminated in accordance with the Agreement. You will be regarded as having accepted this Agreement upon your first use of the Service, unless your acceptance has been terminated in accordance with the Agreement.

10.2 Notices

You agree to provide accurate and current contact information required (including your phone number and email address) to create a Wisdom Account. You further agree to update this information when necessary in order to keep it accurate and current. You acknowledge and agree that Wisdom may send to you, whether by email or otherwise, communications and notifications, which may inform you about changes that impact your rights and responsibilities under this Agreement. It is your responsibility to check these updates periodically. You understand and acknowledge that failure to provide or update accurate contact information may prevent the notices from reaching you and that you are solely responsible for any losses or damages you suffer as a result of unsuccessful delivery of notices.

10.3 Severability

If any clause in this Agreement is found or deemed to be void, invalid, or unenforceable, the remaining clauses will still retain legal effect and be binding on both parties.

10.4 Transfer of rights and obligations

You may not assign or otherwise transfer any of your rights or obligations under this Agreement without Wisdom's prior written permission. Any transfer performed without this permission is invalid. In the event of business upgrades or changes in operating entities, Wisdom has the right to transfer, subcontract, or replace Wisdom's rights and obligations under this Agreement.
